Aside from Ragy’s exceptional record as a transactional lawyer, he is responsible for developing and enriching the vision of ADSERO by delivering its mission towards the Egyptian legal community by developing the best cultured, highly knowledgeable, commercially minded lawyers to serve ADSERO’s clientele.
With over 25 years of experience, Ragy holds an unparalleled track record in legal, strategic, operational and financial management. In addition, Ragy assumed various executive-level roles at numerous holding and operating companies. As a result, Ragy amassed extensive experience in managing multinational firms in the TMT and financial sectors and is highly adept at value creation, strategic and operational efficiencies, sourcing, structuring and executing large complex M&A transactions across several geographic regions..
Prior to the establishment of ADSERO, Ragy played a pivotal role in multiple groundbreaking transactions, including the merger of major telecommunication companies for a total consideration of USD 25.7 billion, thus creating the world’s sixth-largest telecommunications carrier. In addition, Ragy has executed a long line of dealings, including 100+ M&A transactions and 60+ debt and equity transactions.
Ragy has developed a strong business acumen whereby he served on several boards of listed entities in London, New York, Milan, Hong Kong and Egyptian Stock Exchanges, among other non-public entities in various jurisdictions, including Egypt, United Kingdom, Italy, United Arab Emirates, France, Tunisia, Bangladesh, Pakistan, Algeria, Delaware, Netherlands, Luxembourg, Jersey, Malta, BVI, Cayman Islands and Mauritius.
Aside from board memberships, Ragy handled various corporate governance roles, such as board secretary, member of governance, audit, remuneration, investment and executive management committees. Furthermore, Ragy acted as a money laundry monitoring officer, disclosure officer and data protection officer.
Apart from possessing expansive experience within the M&A field, Ragy has managed several Litigation and Arbitration cases, including civil and criminal matters before English and Egyptian Courts, as well as Arbitration proceedings at LCIA, ICC and ICSID.
Legislative Drafting and Review – participated in constitutional and legislative reforms in Egypt: 2014 Constitution, Parliamentary legislative map, EFSA regulation.
Assisted The Sovereign Fund of Egypt in establishing a partnership between CIRA and Elsewedy Capital to invest in education.
Represented CIRA, a leading education service provider company in Egypt in a joint venture with Elsewedy Capital, education experts in the establishment of a JV for the management of schools in Egypt.
Assisted The Sovereign Fund of Egypt, MOBICA, and EFG Hermes in establishing a partnership between leading education provider GEMS Egypt to create premium education services accessible to the Egyptian middle class.
Assisted The Sovereign Fund of Egypt with the development of the Tahrir Complex.
Acted as the Egyptian government’s local counsel, represented by the Ministry of Finance, in updating its existing Global Medium-Term Note Programme USD-denominated Eurobond program from USD 30 billion to USD 40 billion.
Acted as the Egyptian government’s local counsel in relation to issuing U.S 1.5 billion 7.5% Notes due 2061, U.S 750 million 3.875% Notes due 2026 and U.S 1.5 billion 5.875% Notes due 2031.
Advised the Unified Purchasing Authority on the incorporation of its holding investment company and the transfer of Al Masria and Al Gomhoreya companies to the Unified Purchasing Authority.
Assisted Chimera Capital in the acquisition of a significant minority stake of primary shares in Gemini Global Development Egypt, the owner of Ora Developments. The transaction value was USD 100 million.
Acted as the local counsel to Siemens Mobility to develop a historic contract for a turnkey rail system in Egypt worth USD 3 billion.
Advised Rich Food, an Egyptian premier frozen and processed meat and poultry provider, on the sale of its majority stake to Ezdehar Egypt Mid-Cap Fund, a private equity fund manager investing in high-growth businesses.
Advised WaffarX on issuing substantial shares to US-based Lobby Capital, L.P.
Assisted Egyptian food delivery platform Elmenus raise USD 10 million from Fawry and Luxor Capital.
Acted as the legal counsel to Ismailia Investments (Atyab) shareholders on the sale of their majority stake of 75.02% to Agthia Group.
Advised Americana Group in the successful divestment of its stakes in the Egyptian Starch and Glucose Company to Cairo Three A through a Mandatory Tender Offer (MTO) process.
Assisted Naqla raise USD 10.5 million in a funding round led by ElSewedy Capital Holding, Hassan Allam Holding and Sallam Family.
Buy-side – Acquisition of stake in Nile Taxi; a riverboat functioning as a taxi to transport citizens across the Nile River as a way to circumvent traffic congestion.
Advised the sellers of Cairo West for Medical Services (owner of El Nada Hospital – Sheikh Zayed), a major healthcare provider in Egypt, in the successful sale of most of its shares to Al Ahly Capital Holding, the investment arm of the National Bank of Egypt, in an OTC transaction on the Egyptian Exchange.
Represented the shareholders of Namaa for Development & Real Estate Investment on the sale of six separate Grade A offices in East Cairo to Compass Capital’s Portfolio Company Bonyan.
