Hana is a Counsel in the firm’s M&A and Capital Markets practice area, with over nine years of professional experience. She has extensive experience in complex restructuring, high-value mergers and acquisitions (M&A) transactions, and capital market transactions, as well as the drafting and negotiation of a broad range of commercial agreements.

Beyond her transactional work, Hana provides strategic legal counsel on corporate and regulatory matters, helping clients navigate intricate legal frameworks. Her career includes working with some of Egypt’s leading law firms, building her diverse experience across various legal disciplines, including general corporate and commercial law, as well as project finance. Hana’s diverse background enables her to offer tailored and strategic legal solutions across multiple sectors, addressing complex challenges with a practical and client-focused approach.

Hana is fluent in Arabic, English and French and is qualified to practice law in Egypt.

Advised ElSewedy Capital Holding on the sale of 51% of the share capital of Easy Lease to Al Ahly Capital Holding, the investment arm of the National Bank of Egypt (NBE).

Acted as lead counsel to A15 and the founding shareholders of Link Group on the sale of a controlling stake in Link Development to Beyon Solutions, part of the Beyon Group.

Assisted Naqla in raising USD 10.5 million in its pre-Series A funding round, led by ElSewedy Capital Holding, Hassan Allam Holding and the Sallam Family.

Advised the Sovereign Fund of Egypt (TSFE) on a landmark project to convert the Ministry of Interior’s former headquarters complex in Lazoughly into a mixed-use administrative and commercial complex.

Acted as the local legal counsel to WaffarX, the first cashback website in the MENA region, in its funding round with participation from A15.

Advised the sellers of Ismailia Investment Company (commercially known as Atyab) on the sale of a majority stake of 75.02% to Agthia Group PJSC.

Advised the sellers of Cairo West for Medical Services, owner of El Nada Hospital – Sheikh Zayed, on the sale of 94.5% of their shares to Al Ahly Capital Holding.

Advised Americana Group on the successful divestment of its stake in the Egyptian Starch and Glucose Company to Cairo 3A through a mandatory tender offer (MTO) for EGP 420.26 MM.

Advised Baker Hughes Group on the divisive merger of Lufkin Gears LLC (mother company of Lufkin Egypt LLC).

Prior to ADSERO:

  • Advised Americana Group on the sale of 100% of its stake in Greenland Group to Dairy Distributors for Distribution S.A.E, a venture between Halawa and Lactalis (a French dairy group).
  • Advised Americana Group on the sale of its stake in Al-Hashemeya for Land Reclamation and Cultivation S.A.E to Chimera Investments LLC.
