
Dr Ahmed Abdelgawad is a Co-Founder of ADSERO - Ragy Soliman & Partners and is Co-Heading the Mergers & Acquisitions and Capital Markets practice area. In addition, Ahmed is simultaneously teaching at the Criminal Law Department at the Faculty of Law, Cairo University. Furthermore, Ahmed obtained his PhD in “The General Theory for Capital Market Crimes” from Cairo University in 2015.
Ahmed has over 17 years of experience in the legal field, during which he focuses mainly on M&A and Capital Markets. In addition, Ahmed participated in several arbitrations and litigations in Egypt and represented his clients in numerous project finances and syndications.
Ahmed represented a multitude of private equities in high-profile transactions; including Gulf Capital, Chimera Capital, Abraaj and Euromena, and represented various national and multinational companies through a wide range of industries; including Telecom Egypt, Cairo 3A, Americana, Perma Pipes, Abou Zaabal Fertilizers, Alcazar Energy, Etisalat, Atos, Danone, Delivery Hero, Domty, LITAT Group, Symantec, Stream, Suez Steel, TCI Sanmar Chemicals and Techno Scan.
Assisted The Sovereign Fund of Egypt, MOBICA and EFG Hermes to establish a partnership between leading education provider GEMS Egypt to establish two schools at the Universal Village accessible to the Egyptian middle class.
Assisted The Sovereign Fund of Egypt in establishing a partnership between CIRA and Elsewedy Capital to establish two schools at the Universal Village accessible to the Egyptian middle class.
Represented CIRA, a leading education service provider company in Egypt, and Elsewedy Capital, in the establishment of a JV for the management of schools in Egypt.

Advised Americana Group in the successful divestment of its stake in the Egyptian Starch and Glucose Company to Cairo Three A through a Mandatory Tender Offer (MTO) process. The MTO submitted by Cairo Three A was executed on the Egyptian Exchange at an average price of 8.6 per share with a value of USD 26.75 million.
Advised the sellers of Cairo West for Medical Services (owner of El Nada Hospital - Sheikh Zayed), a major healthcare provider in Egypt, in the successful sale of most of its shares to Al Ahly Capital Holding, the investment arm of the National Bank of Egypt, in an OTC transaction on the Egyptian Exchange.
Represented Cairo 3A in the acquisition of a majority stake in Al Ahram Poultry.
Represented Domty in its IPO at the Egyptian Exchange. The transaction involved undertaking due diligence on the group, assisting International Counsel (Baker McKenzie London) in drafting the international prospectus and drafting the PSN.
Represented Cairo Three A in connection with the acquisition of 98% of the share capital of National Company for Maize Products, a listed company on the Egyptian Exchange.
