Associate

Nour is an Associate at ADSERO’s Banking and Finance department. Prior to joining the firm, Nour worked for two years in a top-tier law firm’s corporate and commercial practice area.

Nour has experience drafting and reviewing various commercial agreements, including sale and purchase agreements, lease agreements, shareholders' agreements, and management and usufruct agreements. She also handled day-to-day business queries, providing them with corporate and commercial advice.

Since joining ADSERO, Nour has contributed to drafting and reviewing facility agreements, escrow agreements, and term sheets, as well as conducting due diligence and preparing legal memos. She provides CBE-based commercial advice to businesses locally and internationally and supports banking and finance operations, including loan structuring, regulatory compliance, and corporate finance documentation. Nour brings a keen interest in banking and finance, combining legal expertise with practical insight into financial transactions.

Nour is fluent in German, English, and Arabic.

  • Advised a syndicate of 8 lenders on a landmark EGP 8 billion facility for Orange Egypt.
  • Advised Nawy Shares on obtaining Financial Regulatory Authority (FRA) licences for the management of regulated Real Estate Investment Funds (REIFs).
  • Advised Egypt’s Ministry of Finance on Egypt’s first-ever sovereign local sukuk programme and the inaugural issuance thereunder.
  • Acted as Egyptian local counsel to the Ministry of Finance on a USD 1.5 billion dual-tranche sovereign sukuk issuance in the international debt capital markets.
  • Acted as Egyptian local counsel to the Ministry of Finance on its USD-denominated Eurobond issuance, marking Egypt’s return to the international bond markets.
  • Advised Telecom Egypt on the execution of a long-term EGP 18 billion syndicated loan facility involving a syndicate of 13 banks, led by Commercial International Bank (CIB), Banque Misr, and the National Bank of Egypt (NBE).
  • Acted as Egyptian local counsel to the European Bank for Reconstruction and Development (EBRD) on a loan facility extended to Abou Ghaly Motors for the expansion of its London Cab Egypt fleet.
  • Acted as Egyptian local counsel to Telecom Egypt on a USD 200 million loan facility provided by Banque Misr UAE, acting as lender, mandated lead arranger, and facility agent.
