Ibrahim is a Counsel in ADSERO’s Mergers & Acquisitions (M&A) and Capital Markets department, bringing over 15 years of experience across various areas of Egyptian law, including corporate, M&A, capital markets, and commercial matters.

Prior to joining ADSERO, Ibrahim worked for the Financial Regulatory Authority (FRA) and several top-tier asset management corporations in Egypt. He specialises in direct and indirect acquisitions of Egyptian legal entities and capital markets transactions and has developed unique expertise in general corporate matters.

Ibrahim has significant experience handling major initial public offerings (IPOs) and private placements, working closely with international counsel to review and draft relevant sections of prospectuses and public subscription notices. Additionally, he has extensive expertise in Sukuk and securitisation transactions, including drafting prospectuses and related contracts.

  • Advises Nawy Shares on FRA licensing for regulated Real Estate Investment Funds (REIFs).
  • Advised Tawasoa Factoring on its public-private offering on the Egyptian Exchange (EGX).
  • Advises on Egypt’s landmark local sovereign Sukuk programme and the first issuance under the programme.
  • Advises Orascom Investment Holding on the acquisition of Misr for Entertainment Investments Group.
  • Appointed as Legal Advisor to the National Service Projects Organization (NSPO) and The Sovereign Fund of Egypt (TSFE) on strategic projects.
  • Advises Ayady on increasing its stake in Enmaa Finance.
  • Advised Maseera Holding Limited, a subsidiary of 2PointZero, on the strategic acquisition of Maseera Holding for Financial Investment S.A.E.
  • Advised Ayady, NI Capital, and PFI on the divestment of Tamweely, Egypt’s leading microfinance provider, in a landmark deal exceeding EGP 2.5 billion.
  • Advised Elsewedy Capital Holding on the sale of 51% of the share capital of Easy Lease to Al Ahly Capital Holding.
  • Assisted Telecom Egypt (TE) in the sale by the Egyptian Government of 10% of TE’s shares on the secondary market at the EGX, approximately EGP 4 billion.
  • Assisted Chimera Investment in acquiring 45% of GB Lease, a subsidiary of GB Auto, for EGP 855 million.
  • Reviewed and audited more than 40 transactions in direct and indirect acquisitions, including:
    • Chimp 1 investment SPV RSC, a subsidiary of UAE’s Chimera Investments, over Beltone Financial Holding.
    • Banque Misr over CI Capital Holding.
    • Veon Holding B.V over Global Telecom Holding.
    • Americana Holding for Egyptian Restaurants Ltd. over Egyptian Company for International Touristic Projects.
    • Pioneers Holding share swap transaction over:
    • Giza General Contracting and Real Estate Investment Co. S.A.E.
    • El Kahra Housing.
    • Electro Cable Co.
    • Elsaeed Contracting and Real Estate Investment Company.United Housing & Developments.
    • Liem Vest and Tawasool Holdings over Alexandria Medical Services.
    • Aldar Holdings over Sixth October Development and Investment in Cairo (SODIC).
    • Vodacom Group limited over Vodafone Egypt Telecommunications.
  • Reviewed and audited over 20 IPOs and Listing transactions, including:
    • Cairo for Investment and Real Estate Development (CIRA).
    • Fawry for Banking Technology and Electronic Payments.
    • E-Finance for Digital and Financial Investment S.A.E.
    • Macro Group Pharmaceuticals.
    • Eastern Company S.A.E.
    • Taaleem Management Services.
    • Integrated Diagnostics Holdings PLC (dual listing).
    • Beltone Private Equity.
  • Reviewed and audited four sukuk transactions, including:
    • The first sukuk issuance in the Egyptian market from EFG Hermes sukuk for Talaat Mostafa Group, with a total value of EGP 2 billion.
    • Two issuances for Sarwa Sukuk with a total value of EGP 5.5 billion per issuance.
  • EFG Hermes Sukuk issuance for Cairo for the CIRA with a net amount of EGP 600 million.
  • Drafted the regulation of Special Purpose Acquisition Company issued by the FRA, in addition to being a Substantive Secretariat Member of the Central Shareaa Committee for Sukuk.
