Dr Ahmed Abdelgawad is a Co-Founder of ADSERO - Ragy Soliman & Partners and Co-Head of the Mergers & Acquisitions (M&A) and Capital Markets practice area. He also teaches at the Criminal Law Department at the Faculty of Law, Cairo University.

With over 20 years of experience, Dr Ahmed has amassed extensive expertise in M&A and Capital Markets. Additionally, he has participated in numerous arbitrations and litigations in Egypt, representing clients in various project finance and syndication matters.

Dr Ahmed has been involved in several high-profile private equity transactions, including those with Gulf Capital, Chimera Capital, Abraaj, and Euromena. He has represented a diverse range of national and multinational companies across various industries, including Telecom Egypt (TE), Cairo 3A, Americana, Perma Pipes, Abou Zaabal Fertilizers, Alcazar Energy, Etisalat, Atos, Danone, Delivery Hero, Domty, LITAT Group, Symantec, Stream, Suez Steel, TCI Sanmar Chemicals, and Techno Scan.

• Advised Ayady on Increasing Its Stake in Enmaa Finance
• Advised the sellers, Ayady Egypt for Investment & Development, NI Capital Holding for Financial Investments, and Post For Investment, on the divestment of Tamweely Microfinance, Egypt’s leading microfinance provider, in a landmark deal exceeding EGP 2.5 billion by a consortium of investors, including SPE Capital, European Bank for Reconstruction and Development, Tanmiya Capital Ventures, and British International Investment.
• Advised Parkville Pharmaceutical on a significant minority investment from Admaius Capital Partners.
• Acted as the legal counsel for TE in the successful sale of 10% of TE’s shares on the Secondary Market at EGX, with an approximate value of EGP 4 billion.
• Assisted Chimera Investment acquire 45% of GB Lease, a subsidiary of GB Auto, for EGP 855 million.
• Assisted PIF acquire 34% of B.TECH.
• Assisted  TE sign six new commercial and strategic agreements with Etisalat Misr worth USD 911 million (EGP 17 billion).
• Assisted SolarizEgypt in selling 74% of its portfolio to Amarenco Group and establishing a joint venture (JV) to co-develop 300MW of assets at an estimated budget of USD 255 million over four years.
• Assisted The Sovereign Fund of Egypt (TSFE), MOBICA, and EFG Hermes in establishing a partnership between leading education provider GEMS Egypt to create premium education services accessible to the Egyptian middle class.
• Assisted TSFE in establishing a partnership between CIRA, a leading education service provider company in Egypt, and Elsewedy Capital, a leading investment company, to establish two schools at the Universal Village accessible to the Egyptian middle class.
• Represented CIRA in establishing a JV with Elsewedy Capital for the management of numerous schools in Egypt.
• Assisted Chimera Capital in acquiring a significant minority stake of primary shares in Gemini Global Development Egypt, the owner of Ora Developments. The transaction value was USD 100 million.
• Acted as the legal counsel to Ismailia Investments (Atyab) shareholders on selling their majority stake of 75.02% to Agthia Group.
• Advised the sellers of Cairo West for Medical Services (owner of El Nada Hospital – Sheikh Zayed), a significant healthcare provider in Egypt, in the successful sale of most of its shares to Al Ahly Capital Holding, the investment arm of the National Bank of Egypt, in an OTC transaction on the Egyptian Exchange.
• Advised  Americana Group in the successful divestment of its stake in the Egyptian Starch and Glucose Company to Cairo 3A through a Mandatory Tender Offer (MTO) process. The MTO submitted by Cairo 3A was executed on the Egyptian Exchange at  an average price of 8.6 per share with a value of USD 26.75 million.
• Advised Rich Food, an Egyptian premier frozen and processed meat and poultry provider, on selling its majority stake to Ezdehar Egypt Mid-Cap Fund, a private equity fund manager investing in high-growth businesses.
• Represented the shareholders of a leading manufacturer of cosmeceuticals in the divestment of a significant minority stake to one of the key regional private equity firms.
• Advised the National Company for Maize Products/Cairo 3A Group, a subsidiary of the market pioneer in Agri Commodity, Cairo 3A, on its 15-year power project with Intro Power and Utilities, Intro Group’s power and utility arm.
• Represented EVA Pharma, a leading regional pharmaceutical player, in a JV with a regional medical aesthetic equipment and products distributor. The JV company was established in the UAE, and its geographical scope will cover Egypt and Africa.
• Represented TAQA, a major energy company, in a JV with a regional heaters manufacturer.
• Advised  Americana Group in the successful divestment of its stake in the Egyptian Starch and Glucose Company to Cairo Three  A  through a Mandatory Tender Offer (MTO) process. The MTO submitted by Cairo Three A was executed on the Egyptian Exchange at  an average price of 8.6 per share with a value of USD 26.75 million.
• Represented Cairo 3A in the acquisition of a majority stake in Al Ahram Poultry.
• Represented Domty in its IPO at the Egyptian Exchange. The transaction involved undertaking due diligence on the group, assisting International Counsel (Baker McKenzie London) in drafting the international prospectus and drafting the PSN.​
• Represented Cairo Three A in connection with the acquisition of  98% of the share capital of National Company for Maize Products, a listed company on the Egyptian Exchange.
• Represented Gulf Capital in connection with the acquisition of a minority stake in Techno Group Holding.
• Represented a leading solar energy company in its negotiations to set up a JV for the purpose of establishing a solar power plant in Egypt under the Feed-in-Tariff program.
• Represented Gulf Capital, along with co-counsel Freshfields Bruckhaus Deringer, in connection with the acquisition of a minority stake in Middle East Glass Manufacturing S.A.E. The transaction involved launching a Mandatory Public Tender Offer for the acquisition of up to 100% of the company’s share capital and undertaking a capital increase.
• Represented Citadel Capital, Grandview Capital and Watanya Printing in relation to the divestment of a minority stake to International Finance Corporation through a right issue.
• Represented Emirates National Bank of Dubai, along with co-counsel Freshfields Bruckhaus Deringer, in connection with the acquisition of 100% of the share capital of BNP Paribas.
• Represented Dice in its initial public offering on EGX. The instructions included undertaking of due diligence on the company, reviewing the underwriting agreement and drafting the local prospectus.​
• Represented KBBO, a UAE-based Investment Group, in its acquisition of 60% of Flying Elephant Lab, the owner and operator of Yaoota, an Egyptian search engine for products sold online in Egypt.
• Represented TCV in connection with the acquisition of 50% of Platform for Food Industries through primary issuance of shares.
• Represented Cedar Bridge on the acquisition of a minority stake in Shams Group, a leading provider in the medical laboratories industry.
• Represented BECO in connection with its investment in Vezeeta.
• Advised Dr Abdelwahab Family on the sale of their stake in Cairo Scan Radiology.
