Shaimaa is a Senior Associate in ADSERO’s General Corporate, Commercial, and Regulatory department, specialising in life sciences, real estate, and tourism sectors. She has over eight years of legal experience and has worked with top-tier law firms in Egypt.

Shaimaa serves as the legal consultant to several domestic and multinational companies across various industries, including pharmaceuticals, automotive, construction, and tourism. She is highly skilled in preparing legal opinions, providing advice across different legal fields, and drafting and reviewing a wide range of agreements.

She has extensive in-house experience in the pharmaceutical sector, which includes assessing new business models, drafting and reviewing agreements such as distribution, partnership, sponsorship, manufacturing, services, lease, employment, settlement, donation, NDAs patient affordability programs, and MOUs with governmental entities. Shaimaa reviewed and evaluated the outcomes of investigations conducted with employees by the Compliance and HR departments and advised on alimony cases and the enforcement of related court judgments. Shaimaa is also experienced in liaising with Egyptian governmental authorities, collaborating with stakeholders, preparing legal advice and case assessments, drafting notifications and letters, conducting competition risk assessments, and negotiating agreements with counterparties.

• Advised leading pharmaceutical companies on product divestment projects, different distribution and tender business models and drafted the agreements implementing these business models, localisation of pharmaceutical products, pricing of pre-registered imported products,promotion of pharmaceutical products, and licenses of scientific offices and sample warehouses.
• Advised and assessed the competition aspects in new business models and patient affordability programs.
• Reviewed and advised on MOUs with governmental entities on equipping clinics, providing free tests in different disease areas, awareness campaigns, providing AI software, data digitalisation, risk stratification, educating Health Care Professionals and training them on the latest protocols and guidelines, etc.
• Reviewed and advised on co-payment and patient affordability programs and advised on the exit plan and data transmission in case of termination of these programs.
• Reviewed and advised on sub-distribution agreements and transportation andwarehousing agreements for local and imported products.
• Advised on the liquidation of a company and the timeline of the liquidation process. Attended several meetings with the liquidator.
• Advised on payment defaults by contracting parties and drafted the related notifications by court bailiffs and debt restructuring agreements.
• Advised on the unilateral termination of engineering, procurement and construction, and consortium agreements concluded between multinational companies and governmental authorities and participated in drafting the settlement agreements.
• Advised on the supply of plasma collection devices and disposable kits from a multinational company to Egypt concerning the operation of plasmapheresis donation centres in Egypt.
• Participated in reviewing consortium and subcontract agreements in relation to El-Dabaa Project.
• Participated in several disputes before the Administrative Court, Supreme Administrative Court, and Economic Court in relation to patent infringement and revocation of marketing authorisations of generic products.
• Advised on co-development and revenue share agreements. Participated in reviewing and negotiating all the legal documents of the project.
• Participated in an arbitral dispute before the Cairo Regional Centre for International Commercial Arbitration on a sale of a group of hotels in Marsa Alam.
• Participated in preparing amendment proposals for laws and executive regulations.
