Dr. Rana El Kahwagy is a Counsel in the Financial Regulatory and Capital Markets department at ADSERO, bridging extensive private practice experience with an active background in legal academia. She advises multinational clients on complex corporate and commercial law, cross-border mergers and acquisitions, antitrust, and regulatory compliance, with specific sector experience in energy, technology, construction, and petrochemicals.

Prior to joining ADSERO, Rana focused her practice on cross-border transactions, employment matters, and corporate structuring in Egypt. She regularly provides strategic counsel on the incorporation and licensing of corporate vehicles and possesses deep expertise in delivering comparative regulatory assessments across Egyptian and Saudi jurisdictions.

Alongside her practice, Rana serves as an Assistant Professor of Public International Law at Alexandria University, where she teaches international law and international trade law courses at the Faculty of Law and the Faculty of Economics and Political Science. She also serves as the academic advisor to the ALEXU-CRCICA Arbitration Initiative, contributes to executive legal education programs at the American University in Cairo (AUC), has lectured at Bocconi University, and is the Co-Founder and Product Manager of Bridges Admissions, a platform supporting Arab students pursuing education abroad.

She is fluent in Arabic, English, French, and Spanish.

Prior to ADSERO:

  • Advised multinational clients on corporate, commercial, and regulatory matters (Ariston, Almaviva, Fincantieri, Dredging, Uber, Netflix, Philip Morris, Noon, SIG, ECSD).
  • Advised multinational clients on Egyptian competition law regulation.
  • Advised on mergers and acquisitions; drafted due diligence reports and transaction documents.
  • Advised Ariston on its acquisition of the water heating business of Universal Home Appliances.
  • Advised Japan Industrial Partners on local law aspects of its tender offer for Toshiba alongside Slaughter and May as international counsel.
  • Advised clients on incorporation and licensing of corporate vehicles in Egypt (Fincantieri, Almaviva, Elettronica, Bony Socks).
  • Drafted comprehensive regulatory reports on Egyptian and Saudi laws applicable to Netflix.
  • Advised Almaviva on the Contract Amendment of the unified ticketing system project with the Egyptian Ministry of Transport.
  • Advised the Egyptian Central Securities Depository on corporate and regulatory matters relating to its treasury bill and government bond depository business.
  • Advising sponsors of a petrochemical complex project on setup and establishment in the Suez Canal Economic Zone.

2019 – Received the Harvard Arab Student Association Award for Leadership and Commitment.

2017–2018 – Appointed as a Visiting Research Fellow at the Graduate Institute of International and Development Studies in Geneva.
