Mohamed is a Partner at ADSERO in the Financial Regulatory and Capital Markets practice area, with a focus on mergers and acquisitions, and energy, environment, and natural resources.

With over 15 years of experience, Mohamed advises domestic and international clients on mergers and acquisitions, project finance, joint ventures, and banking matters across Egypt and the wider Middle East. His work regularly involves transaction structuring, bankability, security packages, and commercial agreements.

Mohamed has experience in the energy and infrastructure sectors, advising on oil and gas, petrochemicals, power, and renewable energy matters, including upstream asset transactions.

Prior to joining ADSERO, Mohamed was a partner at a leading international law firm operating in Egypt and earlier held prominent positions at several Egyptian and international law firms and in-house roles.

Prior to ADSERO:

  • Advised Ariston on its acquisition of the water heating business of Universal Appliances.
  • Advised the Central Bank of Egypt on its acquisition of the Export Development Company for the purpose of acting as the export credit vehicle of the Central Bank of Egypt.
  • Advised the Egyptian Central Securities Depository on corporate and regulatory matters relating to its treasury bill and government bond depository business.
  • Advised Snam S.p.A on the acquisition of a stake in the East Mediterranean Gas Company.
  • Advised DEME on its dredging and reclamation agreement of the Abu Qir Port expansion.
  • Advised EgyptERA on matters relating to enhancement of regulatory regime and regulations relating to guarantee of origin certificates and distribution regulations.
  • Advising sponsors of a petrochemical complex project on the set up and establishment of the project in the Suez Canal Economic Zone.
  • Advised the shareholders of Azza Fahmy on the investment by Bidayat in Azza Fahmy.
  • Acted as local counsel to an international oil company in relation to its potential combination with another entity listed on the London Stock Exchange.
  • Advised a compressed natural gas producer on a joint venture in the petroleum sector in Egypt.
  • Advised the shareholders of Digitech on a joint venture with Softline Group in Egypt.
  • Acted as local counsel to EBRD on a reserve-based lending arrangement to a borrower with upstream oil and gas assets in Egypt.
  • Advised the shareholders of the Egyptian IVF Center on the sale of a stake to BPE Partners, a private equity firm.
  • Advised the shareholders of IBAG on the sale of stake to Banque Misr and Ahly Capital.
