Malak Khalil is a Partner at ADSERO – Ragy Soliman & Partners, where she heads the firm’s Energy, Environment and Natural Resources practice within the General Corporate, Commercial and Regulatory Department. She is dual-qualified in Egypt and in England & Wales and has over a decade of experience advising on energy, infrastructure, natural resources and mining matters across Egypt and the wider Middle East. 

Malak regularly acts for government entities, multinational corporates and international investors on high-value projects and complex regulatory mandates, including project development, licensing and the corporate structuring of  energy and utilities businesses. She has a particular focus on environmental and ESG-related work, with experience spanning waste-management regulation, sustainability frameworks and sector-specific compliance issues.

Her diversified skill set and cross-jurisdictional credentials enable her to support clients across integrated energy platforms, spanning upstream petroleum agreements, LNG logistics and midstream allocation, onshore wind and solar project finance-based projects, environmental permitting, and sustainable-development compliance. Malak’s work often bridges commercial execution and policy reform, advising on natural-resources governance, energy-transition frameworks, ESG alignment, and the regulatory architecture underpinning major infrastructure concessions.  This allows her to guide public and private stakeholders through technically complex, capital-intensive projects with a clear understanding of both investment drivers and statutory constraints.

• Represented New Fortress Energy on its regasification transaction with EGAS in Egypt.
• Represented a confidential client on its greenfield solar project in sub-Saharan Africa advising on all project agreements, government negotiation and project execution.
• Acted as local expert on an environmental file related to a regional conglomerate in an international arbitration case.
• Represented Pico Oil in its acquisition of an upstream concession.
• Represented Dana Gas Egypt in its partial sale of equity interest in upstream asset.
• Proposed statutory and corporate governance amendments for a regional energy fund to enhance regulatory compliance, fiduciary oversight and operational performance.
• Represented the Egyptian Ministry of Finance as local legal counsel on the establishment of the first Sovereign Sukuk program of USD 5 BN.
• Advised the National Company for Maize Products/Cairo Three A Group, a subsidiary of the market pioneer in Agri Commodity, Cairo Three A, on its 15-year power project with Intro Power and Utilities, Intro Group’s power and utility arm.
• Acted as local counsel to Siemens Mobility in its contract with the Egyptian Government for Egypt’s first high-speed electric rail system.
• Advised international gold mining exploration companies concerning the international bid round 1/2020 for Gold and Associated Minerals organised by the Egyptian Ministry of Petroleum and Mineral Resources and the Egyptian Mineral Resources Authority.
• Acted as local counsel for the Egyptian government represented by the Ministry of Finance in updating its existing Global Medium-Term Note Programme USD-denominated Eurobond program from USD 30 billion to USD 40 billion.
• Assisted in leading corporations on various ESG and sustainability-related issues, including environmental impact assessment and social governance issues.
• Advised local and international energy companies on restructuring, corporate, commercial and regulatory matters in Egypt.
• Assisted a Japanese multinational engineering and electrical conglomerate company in its joint venture arrangements with local partners.
• Represented underwriters concerning the USD 4 billion sovereign Sukuk issued by the State of Qatar.
• Assisted a Qatari educational organisation to establish the first business incubator in Qatar.
