

Laila is a Junior Associate at ADSERO in the M&A and Capital Markets practice area.
She assists in the structuring and execution of M&A transactions, including share acquisitions and asset deals governed by Egyptian law. She supports comprehensive legal due diligence exercises, covering the review and analysis of corporate constitutional documents, shareholding structure, licences and permits, material commercial contracts, related party arrangements, real estate and asset ownership, intellectual property rights, employment and labour matters, and data protection obligations. She assists in the preparation of due diligence reports, highlighting key findings and flagging material issues to clients.
She is also involved in drafting and reviewing transaction documents, including Share Purchase Agreements, Shareholders’ Agreements, and Term Sheets, and assists with regulatory filings before Egyptian authorities, including the General Authority for Investment and Free Zones (GAFI), the Egyptian Competition Authority, and the Financial Regulatory Authority.
Prior to joining ADSERO, Laila worked at a top-tier law firm, where she gained foundational experience in corporate and capital markets matters. Her work included assisting in drafting commercial agreements, legal opinions, and memoranda of understanding, conducting legal research, preparing internal memoranda, and supporting client coordination on transactional matters.
