

Laila is a Senior Associate in the firm’s M&A and Capital Markets department, where she advises on complex domestic and cross-border transactions. She is qualified to practice law in Egypt and is fluent in English, German and Arabic.
With experience in mergers and acquisitions, and corporate governance, Laila has advised regional and international clients on structuring, executing, and closing transactions across a wide range of industries, including fintech, healthcare, pharmaceuticals, education, and TMT. Her practice spans public and private M&A, restructurings, capital increases, joint ventures, and regulatory compliance.
She has acted on both buy-side and sell-side mandates, leading legal due diligence exercises, preparing risk analysis of specific, industry focused transactional issues, and drafting, negotiating, and executing transaction documentation. In addition, she frequently advises on the structuring and establishment of private equity and venture capital funds, as well as on cross-border corporate reorganisations, capital restructurings, and re-domiciliation exercises.
Beyond her transactional practice, Laila has advised on a broad range of corporate and commercial matters. Prior to joining ADSERO, she acted as in-house counsel for a multinational corporation in Dubai. Her responsibilities included providing day-to-day corporate and commercial support and strategic legal guidance to the executive team and to the board, as well as reviewing, drafting and negotiating complex commercial agreements.
Laila also has experience in international arbitration, having previously worked on high-value disputes administered under ICSID, ICC, LCIA, DIAC, and CRCICA rules, representing clients in investment treaty and commercial arbitration proceedings.
