Karim is an Associate in ADSERO’s General Corporate, Commercial, and Regulatory department, specialising in the Retail, E-Commerce, and Logistics team.

He has experience assisting companies with incorporation and corporate governance matters and advising clients on intellectual property, employment, and social insurance matters.

Further, Karim is proficient in drafting and reviewing various commercial agreements, including service, distribution, franchise, phantom share, term sheet, SPA, SHA, SAAS, logistics, and employment agreements.

Prior to joining ADSERO, Karim worked at a top-tier law firm in Egypt, where he advised startups on the best legal structure for incorporating their companies and provided guidance on legal and corporate governance matters in their early stages, such as OGMs and EGMs. He also assisted startups in their funding rounds and negotiations with investors.

• Advised Amazon on conducting business in Egypt, providing support with day-to-day operations, general corporate and commercial matters, and reviewing agreements.
• Advised FMCG companies on their day-to-day operations, reviewing and negotiating various commercial agreements such as franchise and distribution agreements, advising on regulatory registration and compliance requirements, and negotiating the most favorable Incoterms.
• Assisted in reviewing the LTRA Regulations issued by Decree No. 654 of 2023 and incorporating amendments in coordination with key shareholders in the logistics sector.
