Darah is a Counsel in the firm’s General Corporate, Commercial, and Regulatory department, while also heading the Telecommunication’s, Media, and Technology (TMT) practice. She has over nine years of experience working with top-tier law firms in Egypt, specialising in general commercial law, intellectual property (IP), ride hailing, e-commerce and retail, banking and finance, mergers and acquisitions (M&As), and capital markets.

As the head of the TMT practice, Darah regularly advises multinational companies on conducting business in Egypt, providing comprehensive legal support for their corporate, commercial, and regulatory matters.

In addition to her expertise in the TMT sector, Darah has extensive experience in employment law, advising local and international companies as well as global law firms on a range of employment-related issues. She also works with local start-ups, offering strategic legal support to help them grow their businesses in Egypt.

Darah’s practice extends to advising national and international clients on corporate laws, including the incorporation of companies, due diligence, taxation, demergers, and capital market transactions. She is also well-versed in privacy law and assists clients with their day-to-day legal needs across corporate and commercial matters.

Fluent in Arabic and English, Darah is qualified to practice law in Egypt.

Represent major TMT companies such Amazon, Google, GTH, TikTok and Uber on TMT related matters, specifically data protection, cyber security, day-to-day operations, and general corporate and commercial matters.

Advise a leading global conglomrate on local legal and regulatory frameworks including licensing requirements relating to low earth orbit satellites to provide broadband services, aiming to enhance internet access for an estimated 100 million users.

Led the mapping of information flows for Pfizer Saudi to identify critical compliance gaps and implementing a strategic action plan to achieve 100% compliance with the Saudi Personal Data Protection Law in under six months.

Full-time secondee to Amazon Egypt handling marketplace and focusing on regulatory, antitrust, and privacy matters. (Feb – Aug 2022).

Full-time secondee to Uber Netherlands privacy team and advising on EMEA data protection matters, particularly GDPR compliance and assisting data subjects in exercising their rights. (June – Aug 2021).

Full-time secondee to Uber Technologies Inc., and acting as Egypt’s legal counsel and collaborating with Uber teams on delivering on MENA matters mainly across 4 countries (Egypt, UAE, Qatar, Pakistan). (Dec 2020 – June 2021).

Represent a major local telecommunications service provider and assisted on day-to-day operations and restructuring of their data protection and privacy structure and compliance.

Led the acquisition of a majority stake in Rich Foods Industries by Ezdehar Fund through managing the due diligence, negotiations, and transaction documentation that culminated in a successful closure valued at EGP 500 million.

Supported the acquisition of a majority stake in Ismailia Agricultural and Industrial Investments (Atyab) by UAE-based Agathia in a transaction worth approximately AED 700 million, drafting acquisition agreements and preparing due diligence reports that facilitated a smooth integration process.

Prior to joining ADSERO, Darah participated in various high-profile matters and transactions including:

  • Advised multiple international financial institutions such as the IFC and EBRD in over USD 1.8 billion financing of 30 feed-in tariff (FiT) solar power projects for the world’s current largest grid-connected solar park with a capacity of 1.8 GW.
  • Researching and drafting the legal opinions required for the establishment of Egypt’s first coal-fired power project in Ayoun Moussa, generating 1000 MW of electricity.
  • Assisted in the restructuring process and documentation for The Egyptian Electricity Transmission Company (EETC) based on the new regulations which ensured operational efficiency and reducing transmission losses.
  • Member of the Egyptian Bar Association.
