Managing Associate

Yomna joined ADSERO – Ragy Soliman & Partners in June 2021, first as an Associate and currently as a Managing Associate in the firm’s M&A and Capital Markets practice area. She has more than four years of experience in corporate governance, commercial, M&As and capital market with top-tier law firms in Egypt. She speaks fluent Arabic and English and is qualified to practice law in Egypt.

She has an experience in M&A and capital market transactions, restructuring, drafting and reviewing various commercial agreements and providing legal advice on transactional and non-transactional corporate and regulatory matters. In addition, she has experience executing M&A transactions, including conducting legal due diligence, legal research, drafting and reviewing transaction documents.

In her general corporate and commercial experience, and prior to joining ADSERO, Yomna advised numerous multinational companies. Her role included providing day-to-day corporate and commercial support on doing business in Egypt, assisting and handling their corporate matters and reviewing various types of agreements.

Yomna worked across various sectors such as healthcare, cement, medical insurance and education.

Assisted Public Investment Fund (PIF), Saudi Arabia’s sovereign wealth fund, in acquiring a 34% minority stake in consumer electronics and household appliances retailer B.TECH from Africa-focused investment firm Development Partners International (DPI).

Assisted Ezdehar Management in acquiring approximately 60% of the Zahran Market chain through the Ezdehar Middle Capital Fund II.

Advised the National Company for Maize Products/Cairo Three A Group, a subsidiary of the market pioneer in Agri Commodity, Cairo Three A, on its 15-year power project with Intro Power and Utilities, Intro Group’s power and utility arm.

Advised Chimera Investment in structuring, negotiating and closing one of its most notable real estate investments through acquiring a 25% stake in Gemini Global Development Egypt (GGDE) under Ora Developers.

Advised Titan International on submitting mandatory tendering offer for acquiring 11% of Alexandria Portland Cement Company.

Advised Harmonica, the owner of dating and matching platform with respect for local tradition and culture, as local counsel in connection with its acquisition by Match Group.
