Nayera Hassan

Nayera is an Associate in Ragy Soliman & Partners’ M&A and Capital Markets team. She joined ADSERO in 2020 as a Junior Associate, where she gained experience in complex transactions within the telecommunication industry. She also works on preparing due diligence reports and transaction documents spanning various sectors. In addition, Nayera provides day-to-day advice to her clients, including reviewing different types of commercial agreements. 

At ADSERO, Nayera is primarily dedicated to a strategic, governmental-owned total telecom operator. She provides day-to-day support to this client spanning Corporate Commercial, Corporate Governance and transaction work, as well as communicating with different governmental authorities.  

In addition, Nayera regularly advises clients on various legal questions across many sectors such as Telecom, Data Protection, E-commerce, Fintech, M&A, Capital Markets, Corporate Structure, Employment, General Corporate and Commercial.  

Nayera also has experience drafting and reviewing all types of commercial agreements, providing legal advice on transactional & non-transactional corporate and regulatory matters, advising on restructuring plans and strategies, executing M&A transactions, including conducting legal due diligence and legal research, drafting and reviewing transaction documentation. 

Nayera speaks fluent English, French, and Arabic, her mother tongue.

Assisted in the acquisition of Egypt’s Ismailia Agricultural Company (Atyab) by Agthia Group. 

Assisted in the structuring and closing of Chimera Investment’s most notable real estate investments through acquiring a 25% stake in Gemini Global Development Egypt (GGDE) under Ora Developers, which will further support the expansion and development of its real estate operation.

Assisted in advising the Sovereign Fund of Egypt in the acquisition of an undisclosed majority stake in the educational publishing entity Selah El Telmeez.

Renewal of a license agreement between a telecom operator and the regulator to establish, operate, manage, and lease telecommunication infrastructure, offer telecommunication services and use radio frequencies in the Arab Republic of Egypt.

Preparing a request for proposal and underlying virtual mobile license agreement for a telecom operator to receive national roaming services from other licensed mobile operators in Egypt.

Assited a telecom operator in negotiating different complex agreements with other Mobile Network Operators; including, National Roaming agreements, site sharing agreements, transmission agreements, Bitstream agreements and IRU agreements. 

Drafting the Corporate Governance policies for a telecom operator.

Concluded advertising campaign agreements for a telecom operator.

Assisted in reviewing and drafting commercial agreements and shareholders’ agreements.
