Hana has been part of the senior leadership team of ADSERO – Ragy Soliman & Partners since its establishment in 2019, first as an Associate, then as a Managing Associate and currently as a Senior Associate. She has extensive experience in M&A and capital market transactions, restructuring, drafting and reviewing all types of commercial agreements. Additionally, she provides expert legal advice on transactional and non-transactional corporate and regulatory matters. Furthermore, Hana has worked with top tier law firms in Egypt across multiple legal disciplines, including general corporate and commercial and project finance.
Hana acted as the local counsel to several regional and multinational companies in connection with their acquisitions, including Ismailia Investment Company (Atyab), Cairo West for Medical Services (owner of El Nada Hospital – Sheikh Zayed), Americana Group, WaffarX, Raya Contact Center and Alameda Group. In addition, Hana has ample practical knowledge in capital markets, whereby she advised local and international companies as well as international law firms including PWC, Proparco, LetterOne Technology and EFG Hermes.
In her general corporate and commercial experience, and prior to joining ADSERO, Hana advised numerous multinational companies, including Amazon, Amgen, Google and OLX. Her role included providing day-to-day corporate and commercial support on doing business in Egypt, assisting and handling multination companies’ corporate matters, and reviewing various types of agreements. Hana also dealt with all regulatory work in connection with issuing different types of licenses for industrial and commercial facilities.
Hana has more than six years of professional experience, speaks fluent Arabic, English and French and is qualified to practice law in Egypt.
Advised the sellers of Ismailia Investment Company (Atyab) on the sale of a majority stake of 75.02% to Agthia Group PJSC from 2019 through 2021.
Acted as the local legal counsel to WaffarX (the first cashback website in the MENA region) on a funding round with the participation from A15.
Advised Americana Group on the successful divestment of its stake in the Egyptian Starch and Glucose Company to Cairo 3A through a Mandatory Tender Offer (MTO) for EGP 420.26MM.
Advised the sellers of Cairo West for Medical Services (owner of El Nada Hospital – Sheikh Zayed) on the sale of 94.5% of their shares to Al Ahly Capital Holding (the investment arm of the National Bank of Egypt) in an OTC transaction on the EGX.
Advised Americana Group on the sale of 100% of its stake in Greenland Group to Dairy Distributors for Distribution S.A.E (a subsidiary of Americana Group) to Dairy Distributors for Distribution S.A.E. (a venture between Halawa and Lactalis – a French dairy group).
Advised Americana Group on the sale of its stake in Al-Hashemeya for Land Reclamation and Cultivation S.A.E to Chimera Investments LLC.
