Ehab Fedaa joined ADSERO – Ragy Soliman & Partners in 2021 as a Partner and Head of the General Corporate practice area. Ehab has over 25 years of experience, during which he mainly focused on general corporate practices, including corporate structuring, corporate advisory and corporate secretarial services.

Ehab regularly advises various industries for multinational and national companies, working in oil and gas, energy, cosmetics, pharmaceuticals and life sciences, real estate and hospitality, retail, insurance, education, technology, transportation, and FMCG.

Ehab has broad expertise in doing business in Egypt, including advising clients on the best legal framework and most suitable structure to drive the life cycle of corporate governance. In addition, Ehab has participated in several notable mergers and acquisitions deals.

Ehab has represented several industry leaders such as Nissan Motors, Avon, Pfizer, Amoun Pharmaceutical, Adwia Pharmaceuticals, AXA, Uber, Segas, Hilton, Danone, Symantec, Stream, Suez Steel, TCI Sanmar Chemicals and Techno Scan, Access Power, Amadeus, Alcazar Energy Renewable, Lekela Power, Dubai World Ports, Cleopatra Hospital, International Eye Hospital, AlBorg Labs, MetaMed, Chimera, ECC, IMKAN Misr, Capital Group Properties, Conrad, iLearn, Al Nahda University.

Assisted Chimera Capital in the acquisition of a significant minority stake of primary shares in Gemini Global Development Egypt, the owner of Ora Developments. The transaction value was USD 100 million.

Advised Chimera Investments on the establishment of an offshore fund structure in the Cayman Islands with Al Abbar Family Office.

Advised on the partnership between TSFE and Mobica and CIRA in connection with the establishment of two schools.

Represented AXA (buyer side) in the acquisition of 100% of CIL shares and advised on transaction-related matters including, inter alia, capital increase and restructuring process.

Advised Union Fenosa Gas on the execution of a sale transaction of 80% of its shares in Segas to Eni.

Represented Upjohn on the acquisition of the majority (99.9%) of shares from Pfizer Egypt. The transaction value was approximately EGP 12 billion.

Represented Danone in connection with the acquisition of 100% of shares from Halayeb for Dairy Products and Juice.

Advised the Unified Procurement Authority on the very first conversion of two mega pharmaceutical companies from public sector companies to private companies and advised on the restructuring process of both companies.

Advised Dutch dairy company FrieslandCampina International Holding B.V. (FrieslandCampina) and the Arabian Food Industries Company (Domty) to sign a joint venture agreement that will focus on exporting cheese to Africa and the Middle East.
